A foreigner may own a company in Kazakhstan 100%, and registration takes just a few days. The key choice is an ordinary Kazakhstan company (LLP) or a structure in the Astana International Financial Centre (AIFC).
LLP (in the general jurisdiction of Kazakhstan)
A universal form for operating activity: trade, services, manufacturing. It is registered via the portal/TsON, operates under Kazakhstan law, and is convenient for the local market and hiring.
A company in the AIFC (Private Company)
A separate legal regime based on common (English) law: its own registrar (AFSA), English-language documentation, an independent court and arbitration, and tax preferences. Suitable for holdings, funds, fintech, IT, and working with foreign investors.
How to choose
- Local operating business, work with the government and the local market → more often an LLP.
- A holding, raising foreign investment, financial services, an international structure → the AIFC.
- A combination is often used: a holding in the AIFC + an operating LLP.
Stages of registering an LLP
- Preparing the constituent documents.
- Details of the participants and the director.
- Legal address.
- Filing.
- Tax registration.
- Opening an account.
Foreign founders may need notarised translations and legalisation; the requirements for personal presence change from time to time.
